This terms of use (together with the documents referred to in it) tells you the terms on which you may make use of our website and Learning Management System http://friendshiplab.org (The Site), whether as a guest or a registered user. Use of our site includes accessing, browsing and registering to use our site, and making purchases and accessing purchased products and services via our site.
These terms of use refer to our
Privacy Policy which also apply to your use of our site. The Privacy Policy sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.
Please read these terms of use and the Privacy Policy carefully before you start to use our site, as these will apply to your use of our site. We recommend that you keep a copy of this for future reference.
By using our site, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms of use, you must not use our site.

SECTION 1: GENERAL
BASIS OF SITE USE
Some parts of our site are free to use, other parts of site – most notably the Learning Management System capabilities – can only be accessed after purchasing a product or service. We may update our site from time to time and may change the content at any time. Please note that any content on our site may be out of date at any given time, and we are under no obligation to update it. We do not guarantee that our site, or any content on it, will be free from errors or omissions.
We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our site without notice. We may limit the availability of our site or any service or product described on our site to any person or geographic area at any time. We will not be liable to you if for any reason our site is unavailable at any time or for any period, except in regard to the supply of purchased online products and services (see Section 2 below).
You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them. We do not guarantee that our site will be free from bugs or viruses. You are responsible for configuring your information technology to access our site and protect against online security risks such as viruses.
INTELLECTUAL PROPERTY RIGHTS
We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation(s) to content posted on our site. Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

• use of or reliance on any content displayed on our site.
If you are a business user, please note that in particular, we will not be liable for:
• loss of profits, sales, business, or revenue;

If you are a consumer user, please note that we only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.
We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
UPLOADING CONTENT TO OUR SITE
Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy (see Section 3 below). You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty.
Any content you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us a limited licence to use, store and copy that content and to distribute and make it available to third parties. The rights you license to us are described in the next paragraph (Rights you licence).
We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.
We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our site.
We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy (see Section 3 below).
The views expressed by other users on our site do not represent our views or values.
You are solely responsible for securing and backing up your content.
RIGHTS YOU LICENCE
When you upload or post content to our site, you grant the following licenses:
• A worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the services provided by our site and across different media and to promote The Site or services; and
• A worldwide, non-exclusive, royalty-free, transferable licence to allow third parties to use the content for their purposes.
We will only ever use your materials to carry out your instructions to us – unless, very exceptionally, a court or other regulator orders us to disclose them.
LINKING TO OUR SITE
You may link to our site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link to our site in any website that is not owned by you. Our site must not be framed on any other site. We reserve the right to withdraw linking permission without notice. Where links to third party sites are shared, this does not imply endorsement by our site or Friendship Lab of the linked site or of its operators.
APPLICABLE LAW
These terms of use, its subject matter and its formation, are governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
SECTION 2: TERMS AND CONDITIONS OF SUPPLY
PRICING
Friendship Lab reserves the right to use variable or dynamic pricing. This means that the prices of products and services may change from time to time. The price may vary country to country based on local currencies, financial exchange rates, applicable taxes and variation in payment provider fees in different countries. We may run promotions or sales for our products and services, during which specified products will be available at discounted prices for a set period of time. The price and available offers shown may vary based on whether you are logged into an account, or are using The Site not logged in, or as a guest. We may also offer discounts to selected demographics (such as new users or students). The price that will apply to your purchase(s) is that is displayed at the point of checkout. If you have a discount coupon and forget to utilise it at checkout, we are not obligated to apply it retrospectively.
Friendship Lab uses publicly available data to identify in which country your connected device appears to be based. It uses this data to show the most appropriate local pricing. If you are accessing the internet through a Virtual Private Network (VPN) or similar capability, the geographical data may be unavailable or suggest you are in a different location, impacting our site’s ability to display the most relevant local pricing. Our default currency is British Pounds (£GBP). If you wish to pay in an alternative currency to that shown, please contact us on the email address above; we will then advise whether paying in the currency you specify is possible and inform you of any additional associated fees we would need to apply in that instance.
PAYMENTS
You agree to pay the fees for goods or services that you purchase and you authorise us to charge your debit or credit card or process other means of payment (such as PayPal or Mobile Wallets) for those fees. Friendship Lab uses accredited third-party payment providers to process payments (such as Stripe). We may update your payment methods using information provided by our payment service providers. In the instance that there are issues with a payment, it may be necessary for you to contact the third-party payments provider for resolution.
When you make a purchase, you agree not to use an invalid or unauthorised payment method. If your payment method fails and you still get access to the goods and/or services that you purchased (such as a course) you agree to pay us the corresponding fees within 30 days of notification from us or within 30 days of access, in the event you identify the payment issue. We reserve the right to disable access to the products and services where we have not received sufficient payment.
Customers making a purchase in a currency that is different to the default settings on their chosen payment method, may incur additional fees (such as a banking charge for paying in an international currency on a debit card). These fees are outside of the control of Friendship Lab and we are not liable for them.
Friendship Lab is responsible for paying the appropriate taxes applying to purchases made on The Site.
ACCESS TO ONLINE PRODUCTS & SERVICES
Where your purchase includes access to online content (such as a course) you will retain access to the content for one year from the date of purchase. After this time, we reserve the right to suspend access, which may include removing permissions or disabling, archiving or deleting your account.
During your period of access, we have the right to update the online products and services purchased (such as making minor changes to a course content). We also have the right to suspend the supply of online products and services purchased, when necessary:
• To deal with technical problems, make minor changes or perform technical upgrades.
• In the event of technical outages from our third-party IT suppliers.
• To update the product to reflect changes in relevant laws and regulatory requirements.
• In response to enforceable law enforcement directives.
• To make necessary corrections in regard to content errors or omissions.
• To make improvements to the content or service provided, where there is good reason to do so.
We will endeavour to notify customers, typically by email or site notifications in the event of a significant upcoming product or service outage, unless the problem is urgent or an emergency.
In the event that online products and services are suspended for more than 30 days, we will endeavour to provide an alternative means of accessing them. This may not be possible in all instances. In the event of a suspension of supply of products and services lasting longer than 30 days, customers may also request that their access be extended by a time period equal to the duration for which the supply was suspended.
REFUNDS & CANCELLATIONS
We are a charity based in the United Kingdom, trading under the UK Consumer Rights Act 2015. In accordance with your rights, you are entitled to cancel your purchase within 14 days and receive a full refund. However, you lose the right to cancel the purchase of our online products and services if you have accessed them within the 14-day window (for example, you have purchased an online course and accessed the course content during the first 14 days). In the event that you have accessed the online products and services, no refund will apply.
You have the right to request a refund within the first 30 days if the products or services are significantly not as described. In this instance, you should write to us at the email address listed in the ‘Information About Us’ section above. Should we deem your request to be reasonable, a full refund will apply. After 30 days, no refund will apply.
Additionally, no refund will apply:
• Where the specified access window has ended without the customer having accessed what was purchased.
• For expired or unused promotional codes, coupons, vouchers, gift cards or other sorts of online credit.
• In connection with any instance of violation of the Acceptable Use Policy (see below).
• If we have reasonable reason to believe that you are abusing the refund policy, for example, repeatedly buying and the cancelling your purchase or requesting a refund.
In the event that supply of online products or services is suspended for more than 30 days, and supply cannot be restored, nor an alternative means of access be provided, a proportional refund will be offered. In the event the product purchased was a course, the refund will be based on the proportion of the course the user had yet to access. For any other online products or services the refund will be a proportional to the percentage of the period of access that was unable to be supplied.
Refunds will be made via the original payment method, where the payment processor enables this, for example if a purchase was made via Stripe, we would endeavour to process the refund via Stripe. In the event that we are unable to process a refund via the original payment method, we will endeavour to find an alternative means (such as a bank transfer) to make payment. Refunds wherever possible will be made in the currency of the original payment.
SECTION 3: ACCEPTABLE USE
INTENDED USE
Friendship Lab’s mission is to empower adults with the wisdom and skills to make their friendships thrive. Our site, content, products and services have been designed for adults, not children. If you are under 18 you may not use The Site. We reserve the right to cancel accounts, cancel the supply of products and services, and edit or remove the content of any person found to be connected to the registration of a child on The Site.
ACCOUNT SECURITY
If you choose, or you are provided with account security information such as a username, password, security code or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party and it may not be transferred to a third party. We have the right to disable any user account or user security information whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use. If you know or suspect that anyone other than you knows some or all of your account security information you must promptly notify us at the contact details listed in the ‘Information About Us’ section of this document. You accept responsibility for all activities that occur under your username and password.
It is prohibited to register for an account using false or incorrect identity details. You may not assign or otherwise transfer your account to any other person or identity. In the event of a violation, we reserve the right to suspend or terminate your account; no refund will be made.
PROHIBITED USES
You may use our site only for lawful purposes. You may not use our site:
• In any way that breaches any applicable local, national or international law or regulation. If you are an international user accessing The Site from a location outside of the United Kingdom, you are responsible for compliance with all applicable local and international laws.
• In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
• For the purpose of harming or attempting to harm minors in any way.
• To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards (see below).
• To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
• To transmit unlawful material or material that is defamatory, threatening, discriminatory, extremist or which has the potential to radicalise themselves or others.
• To transmit material that infringes the intellectual property rights or privacy rights of a third party, or that is in breach of a legal duty owed to another party.
• To license, sublicense, sell, rent, lease, or otherwise permit third parties to use our site, and it’s online products and services.
• To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
• To knowingly commit a denial of service or distributed denial of service attack or other similar offences under the Computer Misuse Act 1990.
• As a means to cause harm or disruption to the underpinning third party capabilities on which our site is hosted, or the third-party vendors which supply them.
• In combination with bots, data mining tools, robots or other similar data mining extraction tools.
• To copy, modify, create derivative works of, or recreate Friendship Lab’s site, products or services.
We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately and you will not be entitled to any refund.
INTERACTIVE SERVICES
We have the capability to provide interactive services on our site, including, without limitation: content feeds, discussion forums, messaging groups, online interactive events and blogs. Interactive services allow users who are not employees or volunteers of the charity to share their own content; such content may include both facts and subjective opinions.
We do not have automated moderation capabilities. Content that users share via interactive services on our site is not subject to a human moderation approval process. We are under no obligation to oversee, monitor or moderate any interactive service we provide on our site, and we expressly exclude our liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards, whether the service is moderated or not.
Any person may report content or users who are breaching our content standards. To make such a report, please email us at the address listed in the ‘Information About Us’ section above. In the event that we receive a complaint or report in relation to a piece of content shared on our site, our site administrators will investigate the compliant and may remove or edit content as they deem appropriate.
CONTENT STANDARDS
These content standards apply to any and all material which you contribute to our site (contributions), and to any interactive services associated with it. You must comply with the spirit and the letter of the following standards. The standards apply to each part of any contribution as well as to its whole.
Contributions must:
• Be accurate (where they state facts).
• Be genuinely held (where they state opinions).
• Comply with applicable law in the UK and in any country from which they are posted.
Contributions must not:
• Contain any material which is defamatory of any person.
• Contain any material which is obscene, offensive, hateful or inflammatory.
• Promote sexually explicit material.
• Promote violence.
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
• Infringe any copyright, database right or trademark of any other person.
• Be likely to deceive any person.
• Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
• Promote any illegal activity.
• Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.
• Be likely to harass, upset, embarrass, alarm or annoy any other person.
• Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.
• Give the impression that they emanate from us, if this is not the case.
• Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.
SUSPENSION AND TERMINATION
We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of our site. When a breach of this policy has occurred, we may take such action as we deem appropriate.
Failure to comply with this acceptable use policy constitutes a material breach of the terms of use upon which you are permitted to use our site, and may result in our taking all or any of the following actions:
• Immediate, temporary or permanent withdrawal of your right to use our site.
• Immediate, temporary or permanent removal of any posting or material uploaded by you to our site.
• Issue of a warning to you.
• Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
• Further legal action against you.
• Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.
